Bigfella Auto Express — Vehicle Transport Agreement

1. Brokerage Services

Bigfella Auto Express is a transportation broker that arranges vehicle transportation between customers and independent, licensed, and insured motor carriers. Bigfella does not itself physically transport the Customer's vehicle unless expressly stated otherwise in writing. By submitting a booking request, the Customer authorizes Bigfella to begin sourcing, communicating with, negotiating with, and coordinating with qualified motor carriers. $0 due to book does not mean the brokerage service is free. It means no upfront payment is required when the booking request is submitted.

2. Booking Authorization

The Customer authorizes Bigfella to market the shipment, post it through dispatch networks, contact and negotiate with carriers, provide shipment information, evaluate availability and pricing, secure an available carrier, coordinate pickup and delivery, and take reasonable steps to arrange transportation. Carrier sourcing begins after the booking request is submitted.

3. No Duplicate Bookings or Multiple Brokers

The Customer agrees not to simultaneously have the same vehicle actively marketed, posted, or sourced by another broker or transportation company after submitting a booking with Bigfella. The Customer must promptly notify Bigfella if another broker or carrier has secured transportation. Failure to notify may result in the cancellation provisions of this Agreement.

4. $0 to Book

No payment is required when the Customer submits the initial booking request. Submitting a booking authorizes Bigfella to begin carrier sourcing. Payment becomes due only after transportation arrangements reach the applicable payment stage.

5. Estimate vs. Final Transportation Price

Any website price, including an instant estimate, is an estimate and is not a guaranteed carrier price unless expressly stated otherwise in writing. Pricing may change based on carrier availability, market conditions, route demand, pickup and delivery requirements, vehicle size and condition, operability, special equipment, timing, route changes, or other circumstances. The final transportation price is confirmed after Bigfella identifies an available carrier. The Customer will have an opportunity to review the final carrier and price before dispatch.

6. Carrier Assignment

A carrier assignment occurs when Bigfella has secured a specific motor carrier willing and able to transport the vehicle and has communicated the assignment and applicable final transportation price to the Customer. Once a carrier has been secured, Bigfella has performed substantial brokerage, sourcing, negotiation, and coordination. Customer approval of the assigned carrier and final price authorizes dispatch.

7. Payment Terms

$0 is due when the booking is submitted. After a carrier has been assigned and the Customer has approved the final transportation price, payment becomes due according to the selected plan. Full payment is due after assignment and approval. If COD is selected, the Bigfella service fee is due after assignment and approval, and the remaining carrier balance is paid to the assigned motor carrier at delivery.

8. Service Fee

Bigfella charges a brokerage/service fee for arranging and coordinating vehicle transportation. The fee is disclosed before payment is processed and compensates Bigfella for sourcing, negotiation, coordination, communication, dispatch assistance, and shipment management.

9. Payment Authorization

By accepting this Agreement and later approving the assigned carrier and final price, the Customer authorizes Bigfella to charge the applicable amount to the payment method provided. The Customer remains responsible for amounts properly due if a payment is declined, reversed, or disputed.

10. Card Processing Fees

Any applicable card processing fees will be disclosed before payment is processed and may be non-refundable where permitted by law and processor rules.

11. Cancellation Before Carrier Assignment

The Customer may cancel the booking before a carrier has been assigned without a cancellation fee, provided the Customer promptly notifies Bigfella. The Customer may not use Bigfella's active carrier-search services while simultaneously arranging the same shipment through another broker or carrier without notifying Bigfella.

12. Cancellation After Carrier Assignment

Once a carrier has been assigned, a $250 cancellation fee applies when the Customer cancels the shipment for reasons within the Customer's control. Carrier assignment means Bigfella has performed substantial brokerage and coordination and the assigned carrier may have relied upon the assignment. If a payment has already been processed, Bigfella may apply amounts otherwise refundable toward the cancellation fee, to the extent permitted by law.

13. Duplicate Booking / Double Booking

If the Customer fails to notify Bigfella of a cancellation and the vehicle is subsequently posted, placed, assigned, or secured through another broker or carrier, a $250 cancellation fee may apply.

14. Cancellation After Vehicle Pickup

Once the vehicle has been picked up, the shipment cannot be cancelled through Bigfella in the ordinary course. Transportation charges and agreed fees remain due. Issues after pickup are addressed under the carrier's transportation agreement, Bill of Lading, applicable law, and the claims process.

15. Carrier Cancellation or Failure

The $250 cancellation fee does not apply when cancellation results from Bigfella's failure to perform its brokerage obligations or from circumstances outside the Customer's reasonable control. If an assigned carrier cancels or cannot complete the shipment, Bigfella may attempt to locate a replacement carrier, which may require a different transportation price.

16. Vehicle Condition Disclosure

The Customer must accurately disclose whether the vehicle runs and drives, condition, dimensions, modifications, lowered or lifted suspension, oversized tires, inoperable brakes or steering, aftermarket equipment, damage, personal property, and special loading requirements. Failure to disclose may result in additional charges, delays, carrier refusal, rebooking, or cancellation.

17. Pickup and Delivery Dates

Pickup and delivery dates are estimates unless a specific date or service commitment has been expressly guaranteed in writing. Schedules may be affected by weather, traffic, mechanical problems, carrier scheduling, road restrictions, government restrictions, prior deliveries, accidents, or other circumstances outside Bigfella's reasonable control.

18. Customer Responsibilities

The Customer agrees to provide accurate addresses and contact information, make the vehicle available during the pickup window, provide keys and access, remove prohibited personal property, ensure reasonable loading access, have an authorized person available, follow carrier instructions, inspect the vehicle at delivery, and document visible damage on the Bill of Lading before accepting delivery.

19. Personal Property

Customers should remove personal belongings before transportation. Bigfella and the assigned carrier are not responsible for personal property left in the vehicle unless specifically agreed in writing.

20. Carrier Insurance

Bigfella works with licensed and insured motor carriers. Cargo insurance applies according to the specific carrier's policy, terms, exclusions, and applicable law. Coverage generally applies to covered transportation-related loss or damage and may not apply to personal property, mechanical failure, pre-existing damage, normal wear, or acts of nature.

21. Bill of Lading and Damage Claims

The carrier's Bill of Lading is the controlling document for the vehicle's condition at pickup and delivery. Damage claims must be submitted according to the carrier's claims procedures. Bigfella may reasonably assist in communicating with the carrier but does not control the carrier's insurance company or claims determination.

22. Broker vs. Motor Carrier

Bigfella is a transportation broker and is not the motor carrier physically transporting the vehicle unless expressly stated otherwise in writing. The motor carrier is responsible for the actual physical transportation.

23. Carrier Selection

Bigfella may select a qualified motor carrier based on availability, route, timing, vehicle requirements, equipment, pricing, insurance, and other operational considerations. The Customer does not have the right to require a particular carrier unless that carrier has been expressly agreed to in writing.

24. Limitation of Liability

To the maximum extent permitted by law, Bigfella is not responsible for indirect, incidental, consequential, or special damages, including loss of use, missed travel, lodging, rental vehicles, lost wages, or lost business arising from delays or circumstances outside Bigfella's reasonable control.

25. Force Majeure

Neither Bigfella nor the assigned carrier will be responsible for delays or inability to perform caused by circumstances beyond reasonable control, including severe weather, natural disasters, road closures, governmental action, accidents, mechanical failures, labor disruptions, carrier breakdowns, or traffic conditions.

26. Customer Communication

The Customer agrees to provide accurate telephone and email information and to promptly respond to communications regarding carrier assignment, final price, pickup, delivery, payment, vehicle availability, or shipment changes. Failure to respond may result in delays, inability to secure a carrier, additional costs, or cancellation.

27. Electronic Acceptance

Electronic acceptance, including a checkbox, online booking, email confirmation, or other electronic method, constitutes acceptance of this Agreement to the extent permitted by law and is intended to have the same effect as a written signature.

28. Agreement Becomes Binding

This Agreement becomes binding when the Customer electronically accepts it and submits the transportation booking request. Submitting the booking authorizes Bigfella to begin carrier sourcing. Payment obligations arise when the applicable payment stage is reached.

29. Entire Agreement

This Agreement, together with the Customer's shipment information, approved final transportation price, selected service level, and any written terms expressly incorporated into the shipment, constitutes the entire agreement regarding brokerage services.

30. Governing Law and Dispute Resolution

This Agreement is governed by applicable federal law and, to the extent not preempted, the laws of the State of Texas. The parties agree to attempt in good faith to resolve disputes before formal proceedings. To the extent permitted by law, disputes may be resolved through mediation and/or arbitration in Texas.

31. Customer Acknowledgment

By electronically accepting this Agreement and submitting a booking, the Customer acknowledges they have reviewed and accepted it; understand that $0 is due to submit the booking; authorize Bigfella to begin carrier sourcing; understand the website estimate is not necessarily the final transportation price; agree to the payment terms and cancellation policy; and agree not to simultaneously shop the same shipment through another broker or carrier without notifying Bigfella.
